Bill’s practice includes public and private merger, acquisition and disposition transactions, and all types of capital markets transactions representing both issuers and underwriters, including initial public offerings, follow-on public equity, debt and convertible security offerings, 144A offerings and other types of private placements. Bill has particular experience with publicly traded partnerships, including formation, sponsor “drop down" transactions, general partner disposition transactions and conflicts committee representation. Bill worked on the editorial staff at Vanity Fair magazine before attending law school at Emory University.
Representative Experience
Significant recent transactions on which Bill has worked include:
- representation of the conflicts committee of a publicly-traded partnership in connection with $107 million "drop down" acquisition of natural gas storage and transportation assets by the partnership from its sponsor (April 2008);
- representation of the conflicts committee of a publicly-traded partnership in connection with the $734 million acquisition by public merger of the corporate owner of its general partner (February 2008);
- representation of issuer client in connection with formation and $300+ million initial public offering of an NYSE-listed issuer engaged in the interstate transportation of natural gas (January 2008);
- representation of underwriters in connection with the formation and $140+ million initial public offering of an NYSE-listed issuer engaged in the Jones Act shipping business (November 2007);
- representation of closed-end investment company client as the lead investor in a $70 million private placement (PIPE transaction) by a publicly traded issuer engaged in the natural gas compression business (July 2007);
- representation of the sponsor of a publicly-traded partnership in connection with a $1.2 billion "drop down" transaction and representation of the publicly-traded partnership in connection with the related public and private equity and 144A debt financing transactions (December 2006).
