William is in the Firm’s Business Transactions section and has a practice that focuses on commercial real estate and finance transactions. His particular emphasis includes real estate acquisitions, development, sales and leasing, as well as representing both lenders and borrowers in secured finance transactions. William has extensive experience representing landlords and tenants in industrial, retail and office lease transactions, as well as buyers and sellers of both raw and income-producing land, including advising clients on brownfield issues. William has assisted both borrower and lender clients in negotiating construction loans, bridge loans, permanent loans and conduit loans. He also has substantial experience drafting and negotiating restrictive covenants and related owners association documents, representing residential developers in acquisitions of large tracts of undeveloped land, and negotiating construction and design/build agreements. William’s experience includes negotiating easements and other agreements with local governments, MUDs, railroad concerns, pipeline companies and other public and quasi-public utilities, as well as representing MUDs and local governments in condemnation proceedings. He also has extensive experience performing due diligence, particularly in the areas of real estate, energy and finance transactions.
Representative Experience
- Represented a real estate developer in the acquisition and development, and subsequent leasing and sale of an 80 acre mixed use tract, including a medical campus and retail and assisted living facilities
- Served as lead lender’s counsel in negotiating and documenting securitized loans totaling in excess of $250,000,000
- Represented a lender in the origination of a $35,000,000 line of credit secured by the rolling fleet and other assets of a taxi cab company and its subsidiaries, as well as two amendments and restatements of the credit agreement
- Represented the purchaser in its acquisition of a salt dome natural gas storage facility
- Lead due diligence efforts in the acquisition of an 8,000 acre ranch property intended for residential development
- Represented a manufacturer client in its sale of part of its fabrication, warehouse and office complex
- Represented purchaser in the acquisition of two apartment complexes and the assumption of the seller’s HUD-backed loan
- Represented solid waste disposal company in negotiating and documenting a $100,000,000 credit facility secured by liens on numerous landfills and similar properties located in several states
- Drafted and negotiated an $11,500,000 construction loan for the development of an apartment complex
- Represented owner of retail motorcycle dealerships in the acquisition of several operating dealerships
- Represented a tenant in the negotiation of a 99-year ground lease for the development of a mixed use retail and residential development
