Quentin has a wide-ranging business law practice where he essentially functions as outside general counsel to a variety of public and private corporations. On a daily basis he advises clients on general contract matters, intellectual property concerns, corporate law compliance, overall business strategies, merger and acquisition activities, and securities law reporting, as well as private and public financing and capital raising transactions.
In the area of securities law, he has primary responsibility for clients’ registration statements, annual and quarterly reports, and proxy statements, as well as day to day matters of Section 16 and Sarbanes-Oxley compliance.
His transactional experience includes public and private company acquisitions and dispositions, including, among others, technology companies, manufacturing businesses, and telecommunications providers.
He routinely reviews and negotiates intellectual property related agreements, including software vendor contracts, consulting arrangements, license agreements, and Internet and e-commerce related contracts for a variety of clients.
Quentin’s private equity practice includes representing both issuers and investors in private placements and venture capital transactions, as well as advice regarding state and federal regulation of investment companies and investment advisors.
