Lance's practice focuses on all aspects of corporate and securities matters associated with both public and private entities, including public offerings, private placements, mergers and acquisitions, joint venture transactions, corporate governance matters, corporate restructurings, and complex financings and transactions. Lance’s representations include work with various forms of entities, private equity funds, underwriters and financial advisors. He has particular experience with both domestic and foreign companies involved in the broad energy sector. Lance has practical experience in advising on various general corporate matters and in structuring and negotiating various transactional matters as he also was an in-house lawyer and an officer of a large energy company prior to coming back to private practice.

Representative Experience

Recent deal experience includes:

  • Representation of a public oil and gas drilling manufacturer in its $7.3 billion acquisition of another public company for cash and stock, and in a related exchange offer and consent solicitation relating to senior notes of the company being acquired.
  • Representation of a private equity fund in the sale of one of its portfolio companies, which owns and operates a natural gas storage facility, to a public company for cash consideration of $440 million.
  • Representation of a publicly traded MLP in its $655 million acquisition of a natural gas compression services firm for cash and deferred-pay limited partner units.
  • Representation of a public company in its acquisition of a private, global engineering, construction and services company for cash consideration in excess of $500 million.
  • Representation of a private company in its $60 million acquisition of a hotel in the Caribbean.
  • Representation of the underwriters in a $134 million public offering of common stock by an independent oil and gas exploration and production company.
